Foreign Corrupt Practices Act (FCPA) <\/strong>(where applicable to our U.S. operations\/partners)<\/li>\n \t<li><strong>OECD Convention on Combating Bribery of Foreign Public Officials<\/strong><\/li>\n<\/ul>\n<h4>2.\u00a0 Definitions Table<\/h4>\n<table>\n<tbody>\n<tr>\n<td width=\"125\"><strong>Term<\/strong><\/td>\n<td width=\"500\"><strong>Definition<\/strong><\/td>\n<\/tr>\n<tr>\n<td width=\"125\"><strong>Bribery<\/strong><\/td>\n<td width=\"500\">Offering, promising, giving, accepting, or soliciting anything of value to influence improperly the actions of another person.<\/td>\n<\/tr>\n<tr>\n<td width=\"125\"><strong>Corruption<\/strong><\/td>\n<td width=\"500\">Abuse of entrusted power for private gain, including embezzlement, nepotism, cronyism, and fraud.<\/td>\n<\/tr>\n<tr>\n<td width=\"125\"><strong>Public Official<\/strong><\/td>\n<td width=\"500\">Any person holding a legislative, administrative, or judicial office; any person exercising a public function; or any official of a public international organization.<\/td>\n<\/tr>\n<\/tbody>\n<\/table>\n&nbsp;\n<table>\n<tbody>\n<tr>\n<td width=\"125\"><strong>Term<\/strong><\/td>\n<td width=\"500\"><strong>Definition<\/strong><\/td>\n<\/tr>\n<tr>\n<td width=\"125\"><strong>Facilitation Payment<\/strong><\/td>\n<td width=\"500\">A small unofficial payment made to secure or expedite a routine governmental action. <strong>(Strictly prohibited)<\/strong><\/td>\n<\/tr>\n<tr>\n<td width=\"125\"><strong>Kickback<\/strong><\/td>\n<td width=\"500\">A payment made to someone who has facilitated a transaction or appointment, typically in secret.<\/td>\n<\/tr>\n<tr>\n<td width=\"125\"><strong>Gifts &amp;<\/strong>\n\n<strong>Hospitality<\/strong><\/td>\n<td width=\"500\">Anything of value given or received in a business context, including meals, entertainment, travel, and merchandise.<\/td>\n<\/tr>\n<\/tbody>\n<\/table>\n<h4>3.\u00a0 Prohibited Conduct<\/h4>\nThe following are <strong>strictly prohibited <\/strong>under all circumstances:\n<h4>3.1\u00a0 Giving or Offering Bribes<\/h4>\n<ul>\n \t<li>No Associated Person shall offer, promise, or give any bribe, kickback, or improper advantage to any <strong>Public Official <\/strong>or <strong>private individual <\/strong>to:\n<ul>\n \t<li>Obtain or retain<\/li>\n \t<li>Secure a contract or favorable<\/li>\n \t<li>Influence a decision-making<\/li>\n \t<li>Expedite or secure routine governmental<\/li>\n<\/ul>\n<\/li>\n<\/ul>\n<h4>3.2\u00a0 Accepting Bribes<\/h4>\n<ul>\n \t<li>No Associated Person shall solicit, accept, or agree to accept any bribe, kickback, or improper advantage in connection with Vishram&#8217;s business.<\/li>\n<\/ul>\n<h4>3.3\u00a0 Facilitation Payments<\/h4>\n<ul>\n \t<li><strong>Facilitation payments are strictly prohibited<\/strong>, even if customary or permitted under local practice. Retaliatory action will result in disciplinary measures, up to and including termination and legal action.\n<h4>7.\u00a0 Consequences of Violations<\/h4>\nViolations of this Policy will result in disciplinary action, which may include:\n<ul>\n \t<li>Formal warning and mandatory<\/li>\n \t<li>Suspension without<\/li>\n \t<li>Termination of employment or contract.<\/li>\n \t<li>Civil liability for<\/li>\n \t<li>Criminal prosecution under UAE and applicable international<\/li>\n \t<li>Permanent debarment from future business with<\/li>\n<\/ul>\n<strong>Note: <\/strong>Under UAE law, bribery of Public Officials is punishable by imprisonment of up to <strong>10 years <\/strong>and fines up to <strong>AED 500,000<\/strong>.
